Termination of your account and Service will result in the forfeiture and relinquishment of all Content. Bidgrid reserves the right to refuse service to anyone for any reason at any time.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, THAT YOU OBTAIN FROM BIDGRID OR THE SITE SHALL CREATE ANY WARRANTY, REPRESENTATION, OR CONDITION NOT EXPRESSLY STATED HEREIN. BIDGRID DISCLAIMS ALL LIABILITY FOR ANY (A) INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, RELIANCE, OR CONSEQUENTIAL DAMAGES, (B) LOSS OF PROFITS, (C) BUSINESS INTERRUPTION, (D) LOSS OF OR DAMAGE TO REPUTATION OF BIDGRID OR ANY THIRD PARTY, OR (E) LOSS OF INFORMATION OR DATA. BIDGRID FURTHER DISCLAIMS ALL LIABILITY FOR ANY LOSS OR DAMAGE ARISING OUT OF YOUR USE OF THE SITE AND SITE CONTENT. RESERVES THE RIGHT TO MONITOR DISPUTES BETWEEN YOU AND THEM. YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY IN CASE OF DISSATISFACTION WITH THE SITE OR ANY OTHER GRIEVANCE SHALL BE YOUR TERMINATION AND DISCONTINUATION OF ACCESS TO, OR USE OF THE SITE.
You agree to indemnify and hold Bidgrid, its parents, subsidiaries, affiliates, any related companies, suppliers, licensors and partners, and the officers, directors, employees, agents and representatives of each of them harmless, including costs, liabilities and legal fees, from any claim or demand made by any third party due to or arising out of (i) your access to or use of the Site, (ii) your violation of the Terms of Service, or (iii) the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. Bidgrid reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Bidgrid. Bidgrid will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

Certain content available through and used to operate the Service is protected by copyright, trademark, patent, or other proprietary rights of BIDGRID. You shall not (i) use any of the trademarks, service marks, logos or other content accessible through the Service other than as set forth herein or as approved by BIDGRID; or (ii) modify, alter, or deface any of the trademarks, service marks, or other intellectual property made available by BIDGRID in connection with the Service. All rights not expressly granted to you herein are reserved by BIDGRID.
By using the Service or submitting Content, you agree to be bound by these terms and conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions. Should you violate these terms and conditions or any other rights of BIDGRID, BIDGRID reserves the right to pursue any and all legal and equitable remedies against you, including, without limitation, terminating any and all Content and use of the site.
You are responsible for all activity occurring under your account and shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of the Service. Your obligations shall be binding on your heirs, successors and assigns.
This Agreement shall be governed by and construed under the laws of California exclusive of its conflict of laws provisions. Any suit hereunder will be brought in the federal or state courts located in the State of California, and you submit to the personal jurisdiction thereof.
